PRIVACY POLICY

HOLA BRANDEE LLC, ("Hey Brandee"), is committed to respecting and protecting the personal data of its current and prospective Platform users, employees, and individuals interested in Hey Brandee’s services. To that end, we have implemented this Privacy Policy (the “Policy”) to inform you about what Personal Data we collect, the purposes for which we process it, your rights as a User, and the mechanisms available for exercising those rights.

By using the Hey Brandee Platform, subscribing to our services (whether free or paid), entering into employment agreements, and/or expressly and unequivocally accepting our Terms of Use and this Policy, you acknowledge and agree that your Personal Data will be processed in accordance with the provisions outlined herein.

How can you better understand this Policy?

Definitions. To help you better understand this Policy, we’ve outlined the key terms used throughout this document:

"Authorization": Your prior, express, and informed consent allowing us to process your Personal Data. You provide this Authorization by: (i) using Hey Brandee’s services; (ii) creating or logging into your account and clicking “I accept” to this Policy; or (iii) initiating any interaction with us, such as acting as a supplier, contractor, business partner, or customer.

“Data": Any information that serves to identify you.

"Database": The structured collection of Personal Data that is subject to Processing.

"Data Controller" The individual or entity, public or private, that determines the purpose and means of Processing Personal Data.

“Data Processor": The individual or entity, public or private, that processes Personal Data on behalf of and under the instructions of the Data Controller.

"Claim": A request you submit to exercise your rights regarding your Personal Data.

"Consultation": A request made by you to inquire about the Personal Data we hold about you in our Databases.

"Processing": Any activity performed on your Personal Data, including collection, storage, use, analysis, transfer, updating, correction, or deletion. Processing may occur both nationally and internationally.

"Sensitive Data": Personal Data that reveals information such as racial or ethnic origin, political opinions, religious or philosophical beliefs, union membership, health status, sex life, or biometric data (e.g., fingerprints). Due to its sensitive nature, this type of data requires special protection.

“User”: You, the individual whose Personal Data is being processed.

"Purpose": The specific reason and manner in which Hey Brandee processes your Personal Data.

"Platform": The digital platform through which Hey Brandee offers its Services.

"Services": The AI-based tools provided by the Platform, which allow Users to store information about their business and generate brand-related content.

"Terms of Use": refers to the terms of use of the Platform and the Services offered by Hey Brandee, which can be found at www.heybrandee.com/termsandconditions.

Scope. This Policy applies to all Personal Data collected and processed by Hey Brandee in connection with the provision of its Services. It governs the treatment of Data relating to Users, employees, contractors, suppliers, and any other individuals whose Personal Data is processed by Hey Brandee in the course of its business activities.
When do we collect your Personal Data and what Personal Data do we collect?

Hey Brandee collects Personal Data from Users in the following circumstances:

When Users subscribe to the Platform.
When Users voluntarily provide information, such as during registration, account creation or modification, by completing forms, submitting instructions, or uploading content including files, images, audio recordings, or other materials.
When Users make payments for any of Hey Brandee's Services.
When Users interact with or utilize Hey Brandee's Services.
When individuals express interest in joining the Hey Brandee team by submitting a resume or participating in a recruitment process.
When Users enter into any type of contractual relationship with Hey Brandee, including employment contracts, service agreements, or other legal arrangements.

Information Collected: Hey Brandee may collect the following categories of Personal Data, depending on your interaction with the Platform:

General User Data: Includes your full name, nationality, age, identification number and a copy of your identification document, date and place of birth, residential address, contact phone number, and email address.
Account Creation Data: In addition to the general data listed above, we may collect your email, password, preferred display language, login credentials from third-party providers (e.g., Google or Facebook), website URL, competitor social media accounts, and brand-related documents.
Payment Information: If you make payments on the Platform, we may collect your credit or debit card number, card expiration date, CVV code, and billing address. We may also collect transaction-related data such as transaction date, subscription renewal date, payment amounts, and any other information required to process payments through the Platform’s integrated payment methods.

Usage and Interaction Data: Includes any information you provide, upload, enter, or transmit while using the Platform, such as company-related data, instructions, files, images, audio, text, references, or any other content you use to interact with Hey Brandee.

Protection of Minors’ Personal Data. The Platform is intended exclusively for individuals aged 18 and over. Hey Brandee strictly prohibits individuals under the age of 18 from creating accounts, registering, or using the Services. We do not knowingly collect, process, or store Personal Data from minors under 18. Users are solely responsible for ensuring that they meet the minimum age requirement before accessing or using the Platform.

If we discover that Personal Data has been inadvertently collected from a minor without verified parental or legal guardian consent, we will promptly delete the data from our systems and, where applicable, deactivate the associated account.

Parents and legal guardians who become aware that a minor has submitted Personal Data to Hey Brandee are encouraged to contact us promptly so we can take the necessary steps to remove the data and, if appropriate, deactivate the related account. Likewise, if any User becomes aware of a breach of this policy they should notify Hey Brandee immediately using the contact information provided in this Privacy Policy.

Hey Brandee reserves the right to implement additional age verification measures as needed to ensure effective enforcement of this Privacy Policy.

Image Data. By participating in any videoconference, online session, or event organized or sponsored by Hey Brandee; by undergoing identity verification processes pursuant to the Terms of Use; or by voluntarily uploading your personal image when creating or updating your account on the Platform, you expressly authorize Hey Brandee to use your name and image in programs, publications, promotional materials, and other advertising or commercial media.

This authorization is granted for a period of fifty (50) years and does not entail any obligation on Hey Brandee’s part to provide remuneration or compensation. By accepting this Privacy Policy, you expressly waive any current or future claims against Hey Brandee in relation to your image rights.

Why do we collect your Personal Data?

General Purpose. In general, Hey Brandee collects, stores, organizes, circulates, uses, and otherwise processes Personal Data for the following purposes:

Purposes Applicable to All Users:

To provide and manage the Services offered through the Hey Brandee Platform.
To comply with legal, regulatory, accounting, and commercial obligations applicable to Hey Brandee.
To protect the security of Hey Brandee’s personnel, property, and digital infrastructure.
To verify User identity and ensure the security and integrity of transactions on the Platform.
To detect and prevent unauthorized or improper use of the Platform in accordance with the Terms of Use.
To administer and operate Hey Brandee’s website and Platform effectively.
To host User Data securely on Hey Brandee’s servers.
To comply with applicable laws, regulations, court orders, or legal procedures.
To prevent fraud, cyberattacks, or technical failures, and to protect the rights and interests of third parties.
To maintain direct communication with Users, including responding to complaints, requests, or suggestions.
To notify Users of Platform updates, changes to the Terms of Use or Privacy Policy, and general service information.
To conduct statistical, financial, business, social, administrative, or technical analysis.
To share information with governmental or regulatory authorities as required by law or legal orders.
To contact Users through various channels, including email, phone, physical correspondence, SMS, WhatsApp, Instagram, Facebook, Twitter, LinkedIn, Telegram, Messenger, or any other social media or video conferencing platform.
To carry out marketing activities, including market research, service promotions, and satisfaction surveys.
To invite Users to events or activities organized by Hey Brandee.
To use Personal Data as evidence in any legal, administrative, or regulatory proceedings.

Additional Purposes of Processing User Data

In addition to the general purposes outlined above, Hey Brandee processes the Personal Data of Users for the following specific purposes:

To operate the Platform and deliver the Services offered, including the fulfillment of Hey Brandee’s value proposition and service level commitments to Users.
To contact Users through email, or any other communication channel provided by the User, for the purpose of managing requests, notifications, or communications related to the Services.
To maintain a record of the User’s interactions with the Platform, including preferences, interests, and affinities, to personalize and enhance the User’s experience.
To perform profiling activities, behavioral analysis, and the identification of usage patterns, with or without the aid of artificial intelligence tools, in order to improve the quality and relevance of the Services.
To use the input data provided by Users for the generation of content through artificial intelligence tools. This purpose includes processing, analyzing and storing such data for the purpose of training, improving, optimizing and updating the artificial intelligence models used to provide the Services. Hey Brandee may use this information to continuously improve the quality, accuracy and efficiency of these models, which may benefit all Users by improving the overall experience and functionality of the Platform. It is important to note that specific User Data is never transferred, shared or made accessible between different User accounts. When input data is used for research and development, it is first aggregated and subjected to strict anonymization processes, ensuring that all personally identifiable information is removed or irreversibly transformed so that no individual User can be identified, either directly or indirectly. Hey Brandee applies robust technical and organizational measures to maintain the confidentiality, integrity and security of all data throughout this process.
To optimize existing Platform functionalities and develop new tools and solutions that align with User needs.
To inform Users about the scope, features, updates, and improvements of Hey Brandee’s Services, including the release of new functionalities, products, or related events.
To provide, maintain, and evaluate the performance of the Services, including responding to User instructions and requests made through the Platform.
To support research, development, and continuous improvement of the Platform and its capabilities.
To prevent fraud, illegal activities, or misuse of the Platform and Services.
To ensure the security and integrity of the Platform’s systems, data, and functionalities.

Sharing and Disclosure of Personal Data.

Hey Brandee may transfer or transmit your Personal Data to third parties, including but not limited to business partners, affiliates, service providers, suppliers, cloud computing platforms, and, if applicable, providers of artificial intelligence models, solely for the purposes established in this Privacy Policy. These third parties may include payment processors, cloud hosting services, customer support providers, analytics providers, and other vendors essential to the operation and improvement of Hey Brandee’s Platform and Services.

Hey Brandee may also share your Personal Data in response to lawful requests by competent authorities, as part of legal proceedings, or in the context of negotiations or processes related to mergers, acquisitions, asset sales, financings, or any other corporate transaction.

When Personal Data is transmitted to third parties acting as Data Processors they are contractually obligated to handle the information securely and to process it strictly in accordance with Hey Brandee’s instructions and the purposes described in this Privacy Policy. These Data Processors are not authorized to use your Personal Data for their own independent purposes.

In cases where Personal Data is transferred to third parties acting as independent Data Controllers such parties will process your Personal Data in accordance with their own data protection policies and practices.

Hey Brandee takes all necessary steps to ensure that any transfer or transmission of Personal Data is carried out with adequate safeguards to protect the confidentiality, integrity, and security of your information, including through appropriate contractual arrangements and technical measures.

What happens if we are going to use your Personal Data for another Purpose?

If Hey Brandee intends to use your Personal Data for new or different purposes not previously authorized, we will request your express Authorization. Any changes to this Privacy Policy will be published on our Platform or through any other medium we consider appropriate, and you will be notified of such changes.

If you do not agree with the new purposes, you have the right to revoke your Authorization. Upon revocation, we will proceed to delete your Personal Data, unless we are legally required to retain it.

What happens if you do not allow us to collect certain information?

In the event that Users refrain from providing certain information, you understand and agree that: (i) Hey Brandee will not be able to proceed with creating the User's account within the Platform; (ii) Users will not be able to access the Services properly; and/or (iii) certain functions within the Platform may be limited, at Hey Brandee's discretion.

What are "Cookies" and what do we use them for?

Cookies. A cookie is a harmless file that is downloaded to your device when you access certain web pages or applications. Cookies allow us, among other things, to store and retrieve information about a user's browsing habits and trends on a user’s device. Hey Brandee uses its own and third-party cookies.

Information stored by cookies. Cookies store information of a technical nature, such as, for example, personal preferences, personalization of content, information you have previously filled out on a form to avoid having to fill it out again, and your interactions with our Platform, among other information that allows us to remember you.

Purposes for which we use the information collected through cookies. Hey Brandee uses cookies to provide you with a high value-added service by saving your preferences, the way, time and manner in which you use our Platform. We also use them to personalize your browsing experience, to generate metrics and analytics about visitors to our Platform and to gather information that allows us to make improvements to content and services. What are you declaring when you click on "I authorize the processing of my Personal Data" according to Hey Brandee's Personal Data Processing Policy?

Manifestations of the Users. At the time of voluntarily providing your Data and/or grant the written authorization and/or click on "I authorize the processing of my Personal Data, you manifest that:

You voluntarily provide us with your Data, and you expressly and unequivocally authorize us to collect your Data and any other information you provide and to perform any other Processing on your Data, following the provisions of this Policy.
You were informed and understand that Sensitive Data affect the User's privacy or that improper use may generate discrimination; likewise, that they can be identified as those of racial or ethnic origin, political orientation, religious or philosophical convictions, trade union membership, social organizations, data related to health status, sex life, and biometric data.
You were informed that, in case of collection of Sensitive Data, you have the right not to provide the requested data.
You were informed about the purposes for which your Data and Sensitive Data collected will be used, as described in this Policy.
You were informed and understand the security measures that Hey Brandee implements to protect the Personal Data it collects; therefore, you accept them.
You were informed about your rights concerning your Data and the mechanisms to exercise them.
If you are a User, you were informed that Hey Brandee needs to be in permanent contact with you and your right to update your Personal Data will be subject to us verifying that you actually have access to the new contact information you are providing.

For how long will we process your data?

We will process your Personal Data from the time you authorize us and for as long as necessary to provide the Services, comply with legal obligations, promote safety, integrity and security, and operate the Platform. Some Data and/or Personal Data may be de-identified so that it no longer identifies you and we may use this information to analyze how our Services are used, improve and add features to our Services, and conduct research.

Archiving of your Personal Data: The Data will be kept in the Data Bases for archiving purposes as historical information of the Holders.

How do we take care of your Personal Data?

Security measures for the protection of Personal Data and other information. Hey Brandee's security measures seek to protect the data of the User’s Data to prevent its adulteration, loss, use and unauthorized access. Hey Brandee diligently implements human, administrative, and technical protection measures that are reasonably within its reach, such as having an access management system, computer protection and sharing information in encrypted form, among others. By means of this Policy you expressly accept these forms of protection and declare that you consider them appropriate and sufficient to protect your Data.

Policy for the deletion and/or suppression of Personal Data. Once the Purpose of the Processing of your Personal Data has been fulfilled or when the User requests it directly to Hey Brandee, and provided that no contractual or legal duty or obligation prevents it, Hey Brandee will proceed to the deletion or elimination of your Data, according to the following parameters:

Hey Brandee will suppress or delete the Data of the User, if the latter: (i) freely and voluntarily requests it; (ii) when the Term of the Authorization has been fulfilled following the provisions of this Policy; or (iii) if we consider that they are no longer necessary for the Purposes outlined in this Policy. For the preceding, you must request deletion of your Personal Data through the email [email protected]
Hey Brandee will annually evaluate the information it has about the Users, and according to its characteristics and status, it will choose those Data that it considers at its discretion that should be deleted or eliminated. For this, it will consider if there are rights of the User that prevent the deletion of Personal Data or if there are judicial, legal or contractual duties that prevent the deletion.
Hey Brandee will previously inform the Users of the decision and the basis for the deletion of their Personal Data who, through the enabled channels, may exercise their right to file Queries, Petitions or Claims regarding such decision within fifteen (15) business days following the notification. Queries, petitions, or Claims shall follow the procedures set forth in this Policy. If there is no Claim or request regarding the decision, it will be deleted.
Hey Brandee will keep a record of the processes of deletion and elimination of the User’s Data of the Data, for traceability of the procedure.

Confidentiality. Hey Brandee, will take the measures it deems appropriate in terms of confidentiality, such as the following:

Refrain from partially or fully disclosing the confidential information received to any natural or legal person, governmental or private entities, which has not been previously authorized.
Refrain from using, exploiting, employing, publishing, or disclosing confidential information in a manner different from that authorized in the Policy.
Instruct all those who may have access to confidential information on how to handle, use, manage security measures and others, so that such information remains properly managed and protected.
The use of confidential information will be carried out observing the principles of ethics and good practices in matters of Personal Data protection.

Policies of Truthfulness and quality of information. Hey Brandee will take the necessary measures to ensure that the information contained in its databases is true, complete, accurate, current, verifiable, and understandable. For this reason, Hey Brandee requests to the Users the info necessary and integral information for the respective Processing. Likewise, it will request the necessary supports, so that the information in its Databases is verifiable and true. For the above purposes, Hey Brandee will implement the following measures:

Will take all measures so that, in the collection of information from the Users. complete, accurate, updated, verifiable and understandable information is obtained. In this sense, it will implement due diligence measures in data collection.
Will refrain from processing the User’s Data with partial, incomplete, fractioned, or confusing information.

What can you do with your personal data as a User?

Rights of the Users. You have the right to know, update, rectify your information, and/or revoke the Authorization for the Processing of your Personal Data. Here we tell you in detail what your rights are:

Information, access, and rectification: Access free of charge to your Personal Data that have been subject to Processing, correct or modify them, through the modification and/or edition of the privacy settings of the Users' account; be informed about the use that has been given to your Personal Data; obtain more information about the data that have been collected or deduced about the Users.

To protect the privacy of Users and preserve their security, Hey Brandee may take steps to verify the identity of the User prior to granting access to the relevant Personal Data or fulfilling a request for correction and deletion.

Deleting or limiting the processing of Personal Data: revoke the authorization and/or request the deletion, either partial or total, of your Personal Data; use your account settings to manage your information and privacy. The request for deletion of information and the revocation of the Authorization will not proceed when you have a legal or contractual duty to remain in Hey Brandee's Database.

Procedure to exercise your rights. In case you wish to exercise your rights, you must send an email [email protected], which will be attended by Hey Brandee's data protection area. Such email must be addressed to Hey Brandee and must specify: (i) name and identification of the User or the person entitled; (ii) precise and complete description of the facts that give rise to the Claim; (iii) claims; (iv) physical or electronic address to send the response; and (v) documents and other relevant evidence that you want to assert.

The procedure we will follow for such communication will be as follows:

When the Users wishes to consult the information held in the Database, Hey Brandee will respond to the request within a maximum of fifteen (15) days.
When the Users considers that the information contained in the Databases should be corrected, updated, or deleted, or when they believe that Hey Brandee is failing to comply with its duties, they may file a claim with Hey Brandee, which will be processed under the following rules:

The Claim must be addressed to Hey Brandee with the following information: (i) identification of the User, (ii) the description of the facts that give rise to the Claim, (iii) the address, (iv) the documents that they wish to assert shall be attached. If the Claim still needs to be completed, Hey Brandee may ask the User within ten (10) days after receipt of the Claim to complete it. After two (2) months from the date of the request, if the User does not submit the required information, we will understand that the User has withdrawn the claim.
If Hey Brandee is not competent to resolve the Claim, we will share it with the appropriate person within a maximum period of fifteen (15) business days and inform the User of the situation.
Hey Brandee will respond to the Claim within a maximum period of fifteen (15) business days from the day following the date it was received. When we are unable to address the Claim within this term, we will inform the User the reasons for the delay and the date on which the Claim will be addressed. The withdrawal or deletion of Personal Data will not proceed when there is a contractual duty to remain in Hey Brandee's Database.

What are Hey Brandee's duties regarding the processing of your Personal Data?

Hey Brandee's duties in relation to the Processing of Personal Data. Hey Brandee must act in such a way that it complies with the following duties:

Guarantee, at all times, the full and effective exercise of your rights mentioned in this Policy.
Keep the information under the security conditions necessary to prevent its adulteration, loss, consultation, use or unauthorized or fraudulent access.
Update the information when necessary.
Rectify your Data when appropriate.
Treat Data that are classified as sensitive with due diligence and protection.

How do we respond to legal requests and comply with applicable law?

Notwithstanding Hey Brandee's duties under this Policy, Hey Brandee will access, preserve, and share your information:

In response to lawful requests, such as court orders, subpoenas, or summonses from government authorities.
If a law says we must keep your information for any reason.
To promote the safety and security of the Platform, Users, and the public.

Additional Rights for Residents of Certain Regions:

Depending on your location, you may have additional rights regarding your Personal Data under specific privacy laws, such as the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) or the European Union's General Data Protection Regulation (GDPR). Hey Brandee is committed to respecting and upholding these rights.

The right to request deletion of your personal data.
